By engaging with BakuInteriorBan, whether through our website, in-person consultations, or by entering into a service agreement, you acknowledge that you have read, understood, and agree to be bound by these terms.

BakuInteriorBan is a professional interior design and renovation company operating throughout Azerbaijan. Our comprehensive services range from initial concept development to final project completion, combining creativity, modern design trends, and high-quality materials.

2. Service Description and Scope

BakuInteriorBan provides a comprehensive range of interior design and renovation services tailored to meet the diverse needs of residential and commercial clients across Azerbaijan. 2.1 Interior Design Services

Our interior design services encompass complete space planning, color consultation, furniture selection, lighting design, material specification, and decorative element coordination. We work closely with clients to understand their aesthetic preferences, functional requirements, and budget constraints. Our design team creates detailed plans, 3D visualizations, and mood boards to ensure clients can visualize the final result before implementation begins.

2.2 Renovation and Construction Services

Our renovation services include structural modifications, electrical and plumbing updates, flooring installation, wall treatments, ceiling work, and custom carpentry. 2.3 Project Management

3. Client Responsibilities and Obligations

3.1 Information Provision

Clients must provide accurate and complete information regarding their requirements, preferences, budget limitations, and any specific constraints related to the property. This includes sharing architectural plans, property ownership documents, and any existing conditions that may affect the design or renovation process. Failure to disclose relevant information may result in project delays or additional costs.

3.2 Decision Making and Approvals

Clients are expected to review and approve design proposals, material selections, and project milestones within reasonable timeframes as specified in the service agreement. Delays in client approvals may extend project timelines and potentially increase costs. We recommend that clients designate a primary decision-maker to streamline the approval process and maintain project momentum.

3.3 Site Access and Preparation

Clients must ensure that our team has appropriate access to the project site during agreed-upon working hours. This includes providing keys, access codes, or coordinating with building management as necessary. Clients should also prepare the site by removing personal belongings, valuable items, and ensuring that utilities such as electricity and water are available for construction activities.

3.4 Payment Obligations

Clients agree to make payments according to the schedule outlined in the service agreement. Typical payment structures include an initial deposit, progress payments tied to project milestones, and a final payment upon project completion. Late payments may result in work suspension and may incur additional fees as specified in the agreement.

4. Pricing, Payments, and Financial Terms

BakuInteriorBan is committed to transparent pricing and clear financial arrangements. All costs are discussed and agreed upon before project commencement, with detailed breakdowns provided in written proposals and contracts.

4.1 Project Estimates and Quotations

Initial consultations typically include preliminary cost estimates based on the scope of work discussed. Formal quotations are provided after detailed site assessments and design development. These quotations include design fees, materials costs, labor charges, project management fees, and any applicable taxes. Quotations are valid for a specified period, typically thirty days, after which pricing may be subject to revision due to market fluctuations or changes in material costs.

4.2 Payment Schedule

Standard payment terms include an initial deposit of thirty to forty percent upon contract signing, which secures project scheduling and allows for initial material procurement. Subsequent payments are typically structured around project milestones such as design approval, commencement of construction, completion of major phases, and final project delivery. The final payment, usually ten to fifteen percent, is due upon project completion and client acceptance.

4.3 Additional Costs and Change Orders

Changes to the agreed scope of work, design modifications requested after approval, or unforeseen site conditions may result in additional costs. All change orders must be documented in writing and approved by both parties before implementation. We strive to minimize unexpected costs through thorough initial assessments, but certain conditions may only become apparent during construction.

4.4 Currency and Payment Methods

All pricing is quoted in Azerbaijani Manat (AZN) unless otherwise specified. We accept payments via bank transfer, cash, and major credit cards. For international clients, alternative payment arrangements can be discussed. Payment receipts and invoices are provided for all transactions, ensuring complete financial transparency and record-keeping.

5. Project Timeline and Scheduling

Realistic project timelines are established based on the scope of work, complexity of design, availability of materials, and coordination with various trades and suppliers. While we strive to adhere to agreed schedules, certain factors may affect project duration.

5.1 Timeline Development

Detailed project timelines are developed during the planning phase and include all major milestones from design development through final completion. These timelines account for design approval periods, material procurement lead times, construction phases, and quality inspections. Clients receive a comprehensive schedule that outlines expected start and completion dates for each project phase.

5.2 Factors Affecting Timeline

Several factors may impact project timelines, including delays in client approvals, changes to the original scope of work, material availability issues, unforeseen site conditions, weather conditions affecting construction, and coordination with building management or regulatory authorities. We communicate any potential delays promptly and work diligently to minimize their impact on the overall project schedule.

5.3 Timeline Extensions

If timeline extensions become necessary due to factors beyond our control, we will notify clients immediately and provide revised completion estimates. Extensions resulting from client-requested changes or delays in client approvals will be documented and may affect project costs if they require extended resource allocation or expedited material procurement.

6. Quality Standards and Warranties

BakuInteriorBan is committed to delivering exceptional quality in all aspects of our work. We maintain rigorous quality standards throughout the design and construction process and stand behind our workmanship.

6.1 Workmanship Warranty

We provide a comprehensive warranty on our workmanship for a period of twelve months from the date of project completion. This warranty covers defects in installation, construction errors, and failures resulting from improper execution of work by our team or subcontractors. The warranty does not cover normal wear and tear, damage resulting from misuse, or issues arising from client modifications to completed work.

6.2 Material Warranties

Materials and products supplied by BakuInteriorBan are covered by manufacturer warranties, which vary by product type and manufacturer. We provide clients with all relevant warranty documentation and assist with warranty claims when necessary. We carefully select suppliers and materials known for quality and reliability, but manufacturer warranties are subject to the terms and conditions established by each manufacturer.

6.3 Quality Control Procedures

Our quality control process includes regular site inspections, progress reviews, and final walkthroughs with clients. We address any quality concerns immediately and ensure that all work meets our standards before considering a project complete. Clients are encouraged to report any concerns during the warranty period for prompt resolution.

7. Intellectual Property Rights

The creative work produced by BakuInteriorBan, including design concepts, drawings, plans, and specifications, represents our intellectual property and is protected under applicable copyright laws.

7.1 Design Ownership

All original design work, including sketches, renderings, floor plans, and specifications created by BakuInteriorBan, remains our intellectual property. Clients receive a license to use these designs for the specific project for which they were created. Reproduction, modification, or use of our designs for other projects without written permission is prohibited.

7.2 Portfolio and Marketing Use

BakuInteriorBan reserves the right to photograph completed projects and use these images for portfolio purposes, marketing materials, website content, and social media promotion. If clients prefer that their project not be featured publicly, they must notify us in writing before project commencement. We respect client privacy and can arrange for photography that does not reveal identifying information if requested.

7.3 Third-Party Materials

When incorporating third-party designs, products, or materials into projects, we ensure proper licensing and usage rights. Clients are responsible for obtaining any necessary permissions if they request the incorporation of copyrighted or trademarked materials into their design.

8. Limitation of Liability

While BakuInteriorBan exercises professional care and expertise in all our services, certain limitations on liability are necessary to define the scope of our responsibility.

8.1 Service Limitations

Our liability is limited to the direct costs of correcting defects in our workmanship or replacing defective materials supplied by us, up to the total amount paid by the client for the specific project. We are not liable for indirect, consequential, or incidental damages, including but not limited to loss of use, loss of income, or emotional distress.

8.2 Third-Party Services

When we engage third-party contractors, suppliers, or service providers on behalf of clients, we exercise reasonable care in their selection. However, we are not liable for the actions, omissions, or failures of these third parties beyond our direct control. Third-party warranties and guarantees are subject to their respective terms and conditions.

8.3 Force Majeure

BakuInteriorBan is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, civil unrest, government actions, labor disputes, material shortages, or other force majeure events. In such circumstances, we will make reasonable efforts to minimize disruption and resume services as soon as practicable.

9. Dispute Resolution and Governing Law

We are committed to maintaining positive client relationships and resolving any concerns through open communication and fair practices.

9.1 Informal Resolution

In the event of any dispute or disagreement, we encourage clients to first contact us directly to discuss the matter. Many concerns can be resolved through constructive dialogue and mutual understanding. We are committed to addressing client concerns promptly and fairly.

9.2 Mediation

If informal resolution is unsuccessful, both parties agree to attempt resolution through mediation before pursuing formal legal action. Mediation provides a structured yet flexible approach to resolving disputes with the assistance of a neutral third party. The costs of mediation are typically shared equally between parties.

9.3 Governing Law and Jurisdiction

These Terms of Service are governed by the laws of the Republic of Azerbaijan. Any legal proceedings arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Baku, Azerbaijan. Both parties consent to the jurisdiction and venue of these courts.

10. Privacy and Data Protection

BakuInteriorBan respects client privacy and is committed to protecting personal information in accordance with applicable data protection laws and regulations in Azerbaijan.

10.1 Information Collection

We collect personal information necessary to provide our services, including names, contact details, property information, and payment information. This information is used solely for service delivery, project management, and client communication. We do not sell or share client information with third parties except as necessary to fulfill our service obligations.

10.2 Data Security

We implement appropriate technical and organizational measures to protect client information from unauthorized access, disclosure, alteration, or destruction. However, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security of information.

10.3 Information Retention

Client information is retained for the duration necessary to fulfill our service obligations and comply with legal and regulatory requirements. Project documentation, including contracts, designs, and correspondence, is typically retained for a period of seven years following project completion.

11. Termination of Services

Either party may terminate the service agreement under certain circumstances, subject to the terms outlined in the specific project contract.

11.1 Client Termination

Clients may terminate services by providing written notice to BakuInteriorBan. Upon termination, clients are responsible for payment of all services rendered up to the termination date, including design work completed, materials ordered or purchased, and any cancellation fees from suppliers or contractors. Deposits are non-refundable except as specifically provided in the service agreement.

11.2 Company Termination

BakuInteriorBan reserves the right to terminate services if clients fail to meet their obligations under the service agreement, including non-payment, failure to provide necessary approvals or access, or behavior that is abusive or threatening to our staff. In such cases, clients remain responsible for all amounts due for services rendered.

11.3 Post-Termination Obligations

Upon termination, both parties agree to fulfill any remaining obligations, including final payments, return of property or materials, and provision of project documentation. Design work completed remains the intellectual property of BakuInteriorBan unless full payment has been received.

12. Modifications to Terms

BakuInteriorBan reserves the right to modify these Terms of Service at any time to reflect changes in our business practices, legal requirements, or service offerings.

12.1 Notice of Changes

Significant changes to these terms will be communicated to clients through our website and, where appropriate, through direct communication. Clients are encouraged to review these terms periodically to stay informed of any updates.

12.2 Acceptance of Modified Terms

Continued use of our services following notification of changes constitutes acceptance of the modified terms. If clients do not agree with modified terms, they should discontinue use of our services and contact us to discuss any concerns.
